Terms of Service

Please read these Terms of Service carefully before using the Passpol platform. By registering an account you agree to be bound by these terms. These terms form a legally binding contract between you and Passpol Ltd.
1. About Passpol
Passpol is operated by Passpol Ltd, a company registered in England and Wales (Company No. 17156285), with its registered office at 1 Carr View Avenue, Doncaster, DN4 8AY.
Passpol is a platform intermediary that connects UK SME suppliers with enterprise buyers for the purpose of ESG credential management. The platform enables suppliers to create and share structured ESG profiles, and enables buyers to discover and evaluate supplier ESG credentials.
Important: Passpol is not an ESG auditor, ESG advisor, or certifying body. We do not verify, audit, or guarantee the accuracy of any ESG data submitted by suppliers. We are a platform intermediary only.
2. Acceptance of Terms
By registering an account on the Passpol platform, you confirm that:
- You have read and agree to these Terms of Service in full.
- You are acting in a business capacity on behalf of a company or organisation, not as a consumer. These terms govern a business-to-business (B2B) relationship and consumer protection legislation (including the Consumer Rights Act 2015) does not apply.
- You are aged 18 or over and have authority to bind your organisation to these terms.
- The information you provide during registration is accurate and complete.
If you do not agree to these terms, you must not register an account or use the platform.
3. SME Supplier Terms
The following additional terms apply to users registered as SME suppliers:
- Account creation: You may create one account per organisation. You are responsible for maintaining the security of your login credentials.
- ESG questionnaire: You must complete the ESG questionnaire accurately and honestly. All responses must reflect the genuine practices and policies of your organisation at the time of submission.
- Accuracy of data: You are solely responsible for the accuracy, completeness, and currency of all ESG data you submit. Passpol does not review or validate your responses.
- No false or misleading information: You must not submit ESG data that you know to be false, misleading, or materially inaccurate. Submitting false ESG credentials to buyers may constitute fraud and/or a breach of procurement law.
- Profile sharing: When you share your Passpol profile link, you consent to the recipient viewing your submitted ESG profile data. You control all sharing through your account settings.
- Keeping data current: You are responsible for updating your ESG profile when your organisation's practices change materially.
4. Enterprise Buyer Terms
The following additional terms apply to users registered as enterprise buyers:
- Permitted purpose: Access to supplier ESG profiles is granted solely for the purpose of supplier evaluation, procurement due diligence, and supply chain ESG management.
- Restrictions on further sharing: You must not share, publish, redistribute, or commercially exploit supplier ESG data obtained through the platform without the express written consent of the relevant supplier.
- Independent due diligence: You acknowledge that supplier ESG data on the platform is self-declared and unverified. You are solely responsible for conducting any independent due diligence necessary for your procurement, compliance, or reporting obligations.
- No reliance: Passpol profile data must not be treated as a definitive or audited assessment of a supplier's ESG performance or regulatory compliance.
5. ESG Data Disclaimer
Passpol does not verify, audit, or guarantee the accuracy of ESG data submitted by suppliers.
All ESG profiles on the platform are self-declared by the supplier. A Passpol profile — including any "verified" status indicators — reflects completion of our platform process only. It does not constitute an independent audit, third-party certification, or assurance of regulatory compliance.
Specifically, Passpol makes no representation that:
- Any ESG profile accurately reflects the supplier's actual practices or policies.
- A supplier meets any particular regulatory, procurement, or reporting standard.
- ESG credentials obtained through the platform satisfy any buyer's legal or contractual obligations.
Buyers are solely responsible for determining whether supplier ESG information is sufficient for their own procurement requirements.
6. Acceptable Use
You must not use the Passpol platform to:
- Submit false, misleading, or fraudulent ESG data.
- Impersonate any person, company, or organisation.
- Use automated tools (bots, scrapers, crawlers) to extract data from the platform without prior written consent.
- Interfere with or disrupt the platform's infrastructure, servers, or networks.
- Attempt to gain unauthorised access to other users' accounts or data.
- Use the platform for any unlawful purpose, including fraud, money laundering, or sanctions evasion.
- Resell, sublicense, or commercially exploit platform access or data without written authorisation from Passpol Ltd.
We reserve the right to suspend or terminate any account that we reasonably believe is engaged in prohibited activity, without prior notice.
7. Subscription and Payment
- Plans and pricing: Subscription plans and fees are as displayed on the platform at the time of purchase. Passpol reserves the right to change pricing with 30 days' notice to existing subscribers.
- Payment processing: All payments are processed securely by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
- B2B contracts — no statutory cancellation right: As these terms govern a business-to-business contract, you do not have a statutory 14-day right to cancel under the Consumer Contracts Regulations 2013.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remaining portion of a paid period unless required by law.
- Failed payments: If a payment fails, we will notify you and may suspend access to paid features until payment is resolved.
8. Intellectual Property
- Platform content: All platform code, design, text, graphics, UI, and compiled reports are owned by or licensed to Passpol Ltd. You may not copy, reproduce, or distribute platform content without written consent.
- User-submitted ESG data: ESG data and content you submit to the platform remains your property. By submitting it, you grant Passpol Ltd a non-exclusive, royalty-free licence to store, process, and display that data as necessary to provide the platform services.
- Database compilation rights: The compilation, structure, and organisation of ESG data within the Passpol platform database constitutes a database in which Passpol Ltd holds database rights under the Copyright and Rights in Databases Regulations 1997.
9. Limitation of Liability
Summary: Passpol's liability is capped at the greater of fees you paid in the prior 12 months or £500. We are not liable for indirect losses. We cannot exclude liability for death or personal injury from our negligence.
In full:
- Cap on liability: Passpol Ltd's total aggregate liability to you arising out of or in connection with these terms (whether in contract, tort, or otherwise) shall not exceed the greater of: (a) the total fees paid by you to Passpol Ltd in the 12 months preceding the claim; or (b) £500.
- Excluded losses: Passpol Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive losses, including loss of profit, loss of revenue, loss of contracts, or loss of data, even if advised of the possibility of such losses.
- ESG data reliance: Passpol Ltd shall have no liability for any losses arising from a buyer's reliance on supplier ESG profile data obtained through the platform.
- Non-excludable liability: Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
10. Termination
- Termination by Passpol: We may suspend or permanently terminate your account, without notice, if we reasonably believe you have breached these terms, engaged in fraudulent activity, or used the platform in a way that causes harm to other users or third parties.
- Termination by you: You may close your account at any time via Settings or by emailing hello@passpol.co.uk. Active subscriptions will continue until the end of the billing period.
- Effect of termination: On termination, your right to access the platform ceases immediately. Your ESG data will be deleted in accordance with our Privacy Policy retention schedule.
11. Changes to These Terms
We may update these Terms of Service from time to time. Where changes are material, we will notify registered users by email at least 30 days before the new terms take effect.
Continued use of the platform after the effective date of updated terms constitutes acceptance. If you do not accept the updated terms, you must stop using the platform and close your account before the effective date.
12. Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or in connection with these terms (including any non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts of England and Wales.
